Terms of Service

By accessing or using the BiomassPass platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree to these terms, you may not use the platform.

These terms apply to all users, including account administrators, invited team members, and suppliers who access the platform on behalf of a customer organization.

BiomassPass grants you a limited, non-exclusive, non-transferable license to use the platform during the term of your subscription or trial, solely for your internal business purposes related to feedstock compliance and supply-chain documentation.

You agree not to:

• Use the platform for any unlawful purpose or in violation of any applicable law.
• Reverse engineer, decompile, or attempt to derive the source code of the platform.
• Interfere with or disrupt the integrity, security, or performance of the platform.
• Share account credentials or allow unauthorized users to access your account.

You are responsible for the accuracy, quality, and legality of all data, documents, and content uploaded to the platform. You must ensure that you have all necessary rights and consents to upload and process such information.

You are also responsible for maintaining the confidentiality of your account credentials, managing user access within your organization, and promptly notifying us of any suspected unauthorized access or security incident.

BiomassPass retains all ownership rights to the platform, its software, branding, designs, and associated intellectual property. These terms do not grant you any ownership interest in the platform beyond the limited license described above.

You retain ownership of your data and content. By uploading data to BiomassPass, you grant us a limited license to process, store, and display that data solely as needed to provide the platform services to you.

Both parties agree to protect any confidential information disclosed or accessed through the platform. Confidential information does not include information that is publicly available, already known to the receiving party, or independently developed without use of the disclosing party's information.

We use confidentiality obligations, technical safeguards, and access controls to help protect customer data handled through the platform.

To the fullest extent permitted by law, BiomassPass and its suppliers will not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits or data loss, arising out of or related to your use of the platform.

The platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, beyond what is expressly stated in your subscription agreement or these terms.

Either party may terminate your access to the platform in accordance with the subscription agreement or trial terms. BiomassPass may suspend or terminate access immediately if you violate these terms or engage in activity that harms the platform or other users.

Upon termination, your right to use the platform will cease, and we may delete or retain your data in accordance with our data retention procedures and any applicable legal obligations. Provisions related to confidentiality, intellectual property, liability, and governing law will survive termination.

These Terms of Service will be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising under these terms will be resolved in the courts located in Delaware.

If you access the platform from outside the United States, you are responsible for compliance with local laws to the extent they apply.
